1. Acceptance of Terms

By accessing or using TaskCheck+ ("the App," "the Service"), whether on mobile or web, you ("you," "user") agree to be bound by these Terms & Conditions ("Terms") and all applicable laws and regulations. If you do not agree to these Terms, do not use the App.

These Terms are a binding legal agreement between you and 168th Street Entertainment LLC.

2. Description of Service

TaskCheck+ is a productivity platform that allows teams and businesses to manage tasks, track progress, record time, and collaborate within private workspaces ("pods"). Features include:

• Task and checklist management with assignment, due dates, and completion tracking
• Time logging (clock in / clock out)
• Location-verified check-ins at the moment of clock in or clock out
• Multi-user workspace administration (pod administrators invite and manage members)
• Subscription-based access to premium features

Access to the App is invitation-based within each pod. Pod administrators are responsible for managing their own pod's policies, permissions, and member list.

3. Eligibility

You must be at least 18 years of age to use TaskCheck+. By using the App, you represent and warrant that:

• You are at least 18 years old;
• You have the legal capacity to enter into this agreement on behalf of yourself or the organization you represent;
• You are not prohibited from using the Service under the laws of any jurisdiction that applies to you.

4. Account Registration & Security

To use TaskCheck+, you must register an account. When you register, you agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your account information as it changes;
• Keep your password secure and confidential and not share your credentials;
• Be responsible for all activities that occur under your account;
• Notify us immediately at legal@frameworkstudio.dev of any unauthorized use of your account.

One person per account. We reserve the right to suspend or terminate accounts that violate these Terms or show evidence of unauthorized use or credential sharing.

5. Subscription Plans, Billing, and Cancellation

5.1 Plans

TaskCheck+ offers a Free plan and a Pro plan. Plan features and pricing are published in the App and on our pricing page. We may change plan features and pricing from time to time; for material changes affecting active subscribers, we will provide reasonable advance notice.

5.2 Billing

Paid subscriptions are processed by Stripe, Inc. ("Stripe"), our payment processor. By subscribing, you authorize recurring charges at the billing frequency you select (monthly or annual) until you cancel. You agree to provide accurate and current payment information. If a payment fails, we may suspend Pro features until payment is resolved.

5.3 Taxes

Prices displayed do not include applicable sales, use, VAT, GST, or other taxes. You are responsible for all taxes associated with your subscription.

5.4 Cancellation

You may cancel your Pro subscription at any time from the web dashboard or by contacting legal@frameworkstudio.dev. Cancellation takes effect at the end of the current billing period, and you retain Pro access until then. We do not provide refunds for partial billing periods except where required by law.

5.5 Native app billing note

Due to mobile app store policies, Pro subscriptions are managed through our web dashboard rather than as in-app purchases on iOS or Android. The native app provides a link to the web dashboard for subscription management.

6. User Content and Data Ownership

6.1 Your content

You retain all ownership of the data you enter into TaskCheck+, including tasks, checklists, time logs, comments, uploaded files, and other user-generated content (collectively, "User Content").

6.2 License to us

To provide the Service, you grant 168th Street Entertainment LLC a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process your User Content solely for the purpose of operating, maintaining, and improving TaskCheck+. This license terminates when you delete your User Content or terminate your account, except where retention is required by law or is necessary to resolve disputes or enforce these Terms.

6.3 Pod administrator access

If you access TaskCheck+ through a pod invitation (e.g., from your employer or manager), the pod administrator will have visibility into User Content within that pod, including tasks assigned to you, checklist completion status, time logs, and location check-ins. Administrators set workspace policies; you should review any workplace policies provided by your pod administrator.

6.4 Your responsibility

You are responsible for the accuracy, legality, and appropriateness of the User Content you submit. Do not upload content you do not have the right to share, and do not submit content that violates applicable law.

7. Acceptable Use

When using TaskCheck+, you agree to:

• Use the App only for lawful business or personal purposes;
• Respect the rights and privacy of other users and pod members;
• Provide accurate information, including accurate clock-in and clock-out records;
• Not attempt to circumvent security, access controls, or administrator limits;
• Not share your account credentials with others;
• Comply with all applicable laws, including wage-and-hour laws, privacy laws, and labor laws.

8. Prohibited Activities

You may not:

• Reverse-engineer, decompile, or attempt to extract source code from the App;
• Use the App to distribute malware, spam, or harmful code;
• Harvest, scrape, or mass-collect data belonging to other users;
• Impersonate another person or create an account under false pretenses;
• Use the App for any illegal, harassing, defamatory, discriminatory, or abusive purpose;
• Resell, sublicense, or provide the App to third parties without our written consent;
• Submit false time records, falsify location check-ins, or otherwise manipulate the time-tracking features in ways that violate applicable wage-and-hour or labor laws;
• Use the App in a way that violates your pod administrator's policies.

We reserve the right to investigate suspected violations and take action, including warning, suspending, or terminating access.

9. Intellectual Property Rights

9.1 Our property

TaskCheck+, including the name, logo, trademarks, designs, text, graphics, code, and all other elements of the App (excluding User Content), is the exclusive property of 168th Street Entertainment LLC or its licensors. Nothing in these Terms grants you any right, title, or interest in the App other than the limited right to use the App as described here.

9.2 Feedback

If you submit feedback, suggestions, or ideas about TaskCheck+, you agree that we may use them without compensation or attribution. We are never obligated to act on feedback.

9.3 Third-party trademarks

Stripe, Google, Apple, Firebase, and other third-party names referenced in the App are the property of their respective owners.

10. Third-Party Services

TaskCheck+ integrates with third-party services to operate. Each is governed by its own terms and privacy policy:

• Stripe, Inc. — payment processing for Pro subscriptions (stripe.com/legal)
• Google LLC (Firebase) — authentication, database, file storage, messaging (policies.google.com)
• Apple Inc. and Google LLC (Google Play) — mobile app distribution
• EmailJS — transactional email delivery (www.emailjs.com)
• Vercel Inc. — web application hosting

We select third-party providers we trust, but we are not responsible for their independent actions, uptime, or changes to their services.

11. Termination and Account Deletion

11.1 By you

You may terminate your account at any time by using the account deletion flow in the App or by contacting legal@frameworkstudio.dev. Upon termination, we will delete or anonymize your User Content within ninety (90) days, except where retention is required by law or is necessary to resolve disputes or enforce these Terms.

11.2 By us

We may suspend or terminate your access to TaskCheck+ at any time, with or without notice, if you materially breach these Terms, engage in prohibited activities, or pose a risk to the Service, other users, or 168th Street Entertainment LLC.

11.3 Survival

Provisions regarding User Content (to the extent they govern licensed content already stored), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution survive termination.

12. Disclaimers of Warranty

TASKCHECK+ IS PROVIDED "AS IS" AND "AS AVAILABLE." 168TH STREET ENTERTAINMENT LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the App will be uninterrupted, error-free, or free of security vulnerabilities. We do not guarantee the accuracy, reliability, or completeness of any information made available through the App.

Nothing in TaskCheck+ constitutes legal, tax, labor, or professional advice. You are responsible for ensuring your use of the App complies with applicable wage-and-hour, labor, privacy, and recordkeeping laws.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 168TH STREET ENTERTAINMENT LLC, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, TASKCHECK+, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATED TO TASKCHECK+ SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless 168th Street Entertainment LLC, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of TaskCheck+;
• Your violation of these Terms;
• Your violation of any third-party rights, including privacy, intellectual property, or labor laws;
• Any content you submit, or any actions you take as a pod administrator, including decisions to collect, process, or retain employee time and location data.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of laws principles.

You agree that any legal action arising out of or related to these Terms or TaskCheck+ shall be brought exclusively in the state or federal courts located in St. Louis County, Missouri, and you consent to the jurisdiction and venue of those courts, subject to Section 16.

16. Dispute Resolution and Arbitration

16.1 Informal resolution first

If a dispute arises, you agree to contact us at legal@frameworkstudio.dev and make a good-faith effort to resolve the issue informally within sixty (60) days before commencing formal proceedings.

16.2 Binding arbitration

If informal resolution is unsuccessful, any dispute arising from or relating to these Terms or TaskCheck+, except (a) claims for injunctive or equitable relief, (b) claims that may be brought in small-claims court, or (c) intellectual property claims, shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall be conducted in St. Louis County, Missouri, or by video conference at the consumer's election.

16.3 Class action waiver

You agree that any arbitration or claim shall be conducted on an individual basis and not as part of a class, collective, or representative action.

16.4 Right to opt out

You may opt out of this arbitration agreement by sending written notice to legal@frameworkstudio.dev within thirty (30) days of first accepting these Terms. Opting out of arbitration will not affect any other provision of these Terms.

17. Modifications to Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. For material changes, we will notify you via email or in-app notice before the change takes effect. Continued use of TaskCheck+ after an update constitutes acceptance of the updated Terms. If you do not agree, stop using the App and cancel your subscription.

18. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and 168th Street Entertainment LLC regarding TaskCheck+ and supersede any prior agreements or communications.
